BPC Board of Trustees Qualifications and Role Descriptions


TRUSTEE QUALIFICATIONS

Trustee qualifications include:

  • Resident of the State of New Jersey

  • Over 18 years of age

  • Active member in good standing

  • Current with membership dues by the time of the election or, if a new member, must have paid dues at least eight weeks prior to the election

  • The BPC works in partnership with the County, but is a completely independent, non-partisan, not-for-profit organization. Thus, officers or employees of Essex County or any of its municipalities may not serve as an officer or trustee of the BPC.

  • Deep passion for the mission of the Conservancy

  • Exhibit integrity, objectivity and sound judgment

  • Ability and willingness to contribute expertise, time and resources to the Conservancy

  • Ability to meet the expectations set for Board members including but not limited to regular attendance and active participation in meetings, service on standing and special committees, participation in Conservancy events, projects, initiatives and fundraising/development efforts.


TRUSTEE ROLE DESCRIPTIONS

All trustees shall serve two-year terms. There are currently twelve trustee positions, six Officers and six At-Large Trustees. Trustee terms are staggered such that only half the Board is up for election each year at the March General Membership meeting. In even-numbered years, the members shall elect the Chair, Treasurer, Secretary, and three At-Large Trustees. In odd-numbered years, the members shall elect the Vice Chair, Assistant Secretary, Assistant Treasurer, and three At-Large Trustees.

Chair.  The Chair shall serve as the corporation’s chief executive officer and exercise general supervision and control over the activities of the corporation.  The Chair shall preside at all meetings.  

 Vice-Chair.  The Vice-Chair shall provide support to the Chair and shall act as Chair in his or her absence.  If the position of Chair becomes vacant, the Vice-Chair shall serve as interim Chair until a replacement is selected by the Board.  

Secretary.  The Secretary shall cause notice of all meetings to be served, keep and record the minutes of all meetings, maintain the minute book and other corporate records, and perform such other duties and possess such other powers as are incident to the office or as shall be delegated by the Board.  

Treasurer.  The Treasurer shall have custody of the funds of the corporation and shall keep or cause to be kept regular books of account for the corporation.  The Treasurer shall perform such other duties and possess such other powers as are incident to the office or as shall be delegated by the Board.

Assistant Officers.  The Assistant Secretary and Assistant Treasurer shall provide support to the Secretary and Treasurer, respectively, and shall fulfill the duties of the Secretary and Treasurer in their absence. 

At-Large Trustee. At-Large Trustees shall provide overall guidance for the organization and take an active role in one or more committees.
